Terms of Service

These Terms of Service (“Terms”) govern the provision of professional services and business support services by Turrang Pty Ltd (ABN 96 701 406 779) (“Turrang”, “we”, “us” or “our”) to you (“Client” or “you”). By engaging us, accepting a quote, or using our services, you agree to be bound by these Terms.
1. Our Services
We provide professional services and business support to small businesses, which may include administration support, documentation and correspondence, business planning assistance, operational support, research, and related advisory work. The specific services to be provided to you, together with scope, deliverables and estimated fees, will be set out in a written quote or engagement summary provided by us.
Any advice or work product we provide is prepared for your business purposes only and is based on the information you supply to us. We do not provide legal, financial, taxation or licensed professional advice unless expressly agreed in writing.
2. Quotes and Engagement
- Quotes are valid for 30 days from the date of issue unless otherwise stated.
- A quote may be based on assumptions regarding scope, timeframe and information provided by you. If the scope changes, we will provide a revised quote or additional fee estimate before proceeding.
- An engagement commences when you accept a quote in writing (including by email) or, where applicable, pay any deposit or commencement fee stated in the quote.
3. Fees, Invoicing and Payment
- Fees are stated in Australian dollars and are payable in accordance with the payment terms stated on each invoice.
- Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date.
- We may require a deposit or advance payment before commencing work on certain engagements.
- If an invoice remains unpaid beyond its due date, we may suspend work, charge interest on overdue amounts at a rate reasonably determined by us, and recover reasonable costs of collection.
- You are responsible for any fees, charges or taxes (other than income tax payable by us) arising from your engagement of our services.
4. Goods and Services Tax (GST)
Where our services are taxable supplies for the purposes of A New Tax System (Goods and Services Tax) Act 1999 (Cth), our fees are inclusive of GST unless expressly stated otherwise. Tax invoices will be issued where required.
5. Client Obligations
You agree to:
- provide accurate, complete and timely information, records and access reasonably required for us to perform the services;
- respond to reasonable requests for approval or clarification within agreed timeframes;
- ensure you have the right to provide any materials, data or content you supply to us;
- comply with all applicable laws in connection with the engagement; and
- notify us promptly if any information provided changes materially.
Delays caused by late or incomplete information from you may affect timeframes and, where work is performed on an hourly or time-based basis, may result in additional fees.
6. Confidentiality
Each party will keep confidential all non-public information obtained from the other party in connection with an engagement, and will not disclose it to third parties except where required by law or where the information is already publicly available. This obligation survives completion or termination of an engagement.
7. Intellectual Property
Upon full payment of our fees, you own the final deliverables prepared specifically for you under an engagement. We retain ownership of our pre-existing materials, templates, methodologies and know-how, and you are granted a non-exclusive licence to use any such materials embedded in your deliverables for your own business purposes. We may use anonymised experience and general knowledge gained during an engagement for our ongoing business.
8. Australian Consumer Law โ Consumer Guarantees
Our services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the services remedied or fees refunded if the services fail to be of acceptable quality and the failure does not amount to a major failure.
Nothing in these Terms excludes, restricts or modifies the application of the Australian Consumer Law, or any consumer guarantees or your associated rights and remedies under that law.
9. Limitation of Liability
To the maximum extent permitted by law, and except for liability that cannot be excluded under the Australian Consumer Law:
- our liability arising out of or in connection with an engagement is limited, at our option, to re-supplying the relevant services or paying the cost of having the services re-supplied; and
- we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or business opportunities, however arising.
Our total aggregate liability for any claim arising from an engagement will not exceed the fees paid by you for the services giving rise to the claim.
10. Termination
Either party may terminate an engagement by giving written notice. You remain liable for fees for work performed, and costs reasonably incurred, up to the date of termination. We may terminate an engagement immediately by written notice if you breach these Terms, fail to pay an invoice by its due date, or if continuing the engagement would place us in breach of the law or our professional obligations.
11. Privacy
We handle personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy. By engaging us, you consent to the collection, use and disclosure of personal information as described in that policy.
12. Force Majeure
We are not liable for delay or failure to perform our obligations where the delay or failure is caused by events beyond our reasonable control, including natural disasters, power or internet outages, illness, industrial action, or changes in law. Where such an event occurs, we will notify you and agree on revised timeframes.
13. Amendments
We may update these Terms from time to time. The current version will always be published on this page with the date of last update at the top. The Terms in force at the time you accept a quote or commence an engagement will apply to that engagement, except where we notify you of changes that apply to ongoing work.
14. Governing Law
These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. The parties submit to the non-exclusive jurisdiction of the courts of Western Australia.
